By accessing, browsing, or using the Solaigen website located at solaigen.io (the "Platform"), purchasing or interacting with the $SGEN token, or utilizing any services, tools, or content provided by Solaigen Labs ("Solaigen," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree with any provision of these Terms, you must discontinue use of the Platform and all associated services immediately.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Solaigen Labs. We reserve the right to update or modify these Terms at any time, and such modifications become effective upon posting to the Platform. Your continued use of the Platform following any changes constitutes acceptance of those revised Terms.
You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater, to access the Platform or participate in the $SGEN token presale or any related activities. By using the Platform, you represent and warrant that you meet this age requirement.
You further represent that you are not: (a) located in, a resident of, or a citizen of any jurisdiction where participation in token presales, cryptocurrency transactions, or blockchain-based activities is prohibited, restricted, or subject to licensing requirements that have not been met; (b) included on any sanctions list maintained by the United States Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, or any other applicable governmental authority; or (c) acting on behalf of any person or entity described in the foregoing clauses.
Solaigen Labs reserves the right to restrict access to the Platform or any services based on geographic location, regulatory developments, or any other factors at our sole discretion.
When you connect a wallet or interact with the Platform, you are solely responsible for maintaining the security and confidentiality of your wallet credentials, private keys, seed phrases, and any other authentication mechanisms. Solaigen Labs does not store, manage, or have access to your private keys or wallet recovery phrases.
You acknowledge and accept that: (a) all transactions initiated from your connected wallet are deemed authorized by you; (b) you are solely responsible for any losses, damages, or liabilities arising from unauthorized access to your wallet; and (c) Solaigen Labs bears no responsibility for wallet security, key management, or the recovery of lost or stolen assets.
You agree to notify Solaigen Labs promptly at legal@solaigen.io if you become aware of any unauthorized use of your wallet in connection with the Platform.
The $SGEN token is designed as a utility token within the Solaigen ecosystem. $SGEN is intended to facilitate access to platform features, governance participation, staking rewards, and other functionalities as described in the Solaigen whitepaper and supporting documentation.
$SGEN tokens are expressly not intended to constitute securities, equity, debt, investment contracts, or any form of financial instrument in any jurisdiction. Purchasing $SGEN does not entitle you to ownership, dividends, profit-sharing, voting rights in Solaigen Labs as a corporate entity, or any claim against the assets or revenues of Solaigen Labs.
The value of $SGEN tokens may fluctuate significantly and may decrease to zero. You acknowledge that purchasing $SGEN tokens involves a high degree of risk, including but not limited to the potential for complete loss of the purchase amount. Past performance of any cryptocurrency or digital asset is not indicative of future results.
Solaigen Labs makes no representations, warranties, or guarantees regarding: (a) the current or future market value of $SGEN; (b) the liquidity of $SGEN on any decentralized or centralized exchange; (c) the ability to exchange $SGEN for fiat currency or other digital assets; or (d) any return on investment or financial gain from holding $SGEN tokens.
Participation in the $SGEN token presale is voluntary and conducted at your own risk. All presale purchases are final and non-refundable unless expressly stated otherwise in a separate written agreement executed by Solaigen Labs. Token distribution timelines, vesting schedules, and associated mechanics are subject to change based on network conditions, development milestones, and operational requirements.
By participating in the presale, you confirm that: (a) you have conducted your own independent research and due diligence; (b) you have not relied upon any statements, representations, or promises made by Solaigen Labs or any third party as investment advice; and (c) you possess sufficient knowledge and experience in financial and blockchain matters to evaluate the risks and merits of your purchase.
$SGEN is deployed on the Solana blockchain. Solaigen Labs is not responsible for the operation, security, availability, or performance of the Solana network. Transactions on the Solana blockchain are irreversible, and Solaigen Labs cannot reverse, cancel, or modify any on-chain transaction once it has been broadcast. You are responsible for verifying all transaction details, including wallet addresses and amounts, before confirming any transaction.
Participation in the Solaigen ecosystem and the purchase of $SGEN tokens involve substantial risks. Without limiting the foregoing, you acknowledge and accept the following risks:
All content, materials, software, designs, trademarks, service marks, logos, brand names, and other intellectual property displayed on or associated with the Platform (collectively, "Solaigen IP") are the exclusive property of Solaigen Labs or its licensors and are protected by applicable intellectual property laws worldwide.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes in accordance with these Terms. This license does not include: (a) the right to reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any Solaigen IP; (b) the right to use any data mining, robots, or similar data-gathering or extraction methods; or (c) the right to reverse engineer, decompile, or disassemble any software or technology used on the Platform.
You agree not to use the Platform or any Solaigen services for any purpose that is unlawful, harmful, or prohibited by these Terms. Without limitation, you shall not:
To the maximum extent permitted by applicable law, Solaigen Labs, its directors, officers, employees, agents, affiliates, successors, and assigns (collectively, the "Solaigen Parties") shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, tokens, digital assets, or other intangible losses, arising out of or in connection with: (a) your use of or inability to use the Platform; (b) the purchase, sale, transfer, or holding of $SGEN tokens; (c) unauthorized access to or alteration of your data or transactions; (d) statements or conduct of any third party on the Platform; or (e) any other matter relating to the Platform or these Terms.
In no event shall the aggregate liability of the Solaigen Parties for all claims arising out of or relating to these Terms or the Platform exceed the greater of: (a) the amount you paid to Solaigen Labs in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100.00).
The limitations set forth in this section apply regardless of the legal theory upon which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if the Solaigen Parties have been advised of the possibility of such damages.
You agree to defend, indemnify, and hold harmless the Solaigen Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or relating to: (a) your use of or access to the Platform; (b) your purchase or use of $SGEN tokens; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or third-party right; or (e) any content or information you submit, post, or transmit through the Platform.
Solaigen Labs reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You shall not settle any claim without the prior written consent of Solaigen Labs.
The Platform and all associated services, content, materials, and $SGEN tokens are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. Solaigen Labs expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
Without limiting the foregoing, Solaigen Labs does not warrant that: (a) the Platform will be available, uninterrupted, secure, or error-free; (b) the results obtained from using the Platform will be accurate, reliable, or complete; (c) any defects in the Platform will be corrected; or (d) the Platform or associated infrastructure is free of viruses or other harmful components.
Nothing on the Platform or in any Solaigen communications constitutes financial, investment, legal, or tax advice. You should consult with qualified professionals before making any decisions regarding the purchase or use of $SGEN tokens.
These Terms and any dispute arising out of or relating to these Terms, the Platform, or $SGEN tokens shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be finally resolved by binding arbitration administered in accordance with the rules of the International Chamber of Commerce (ICC). The arbitration shall be conducted by a single arbitrator, and the seat of arbitration shall be the British Virgin Islands. The language of the arbitration proceedings shall be English.
To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit, class-wide arbitration, or any other proceeding in which any party acts or proposes to act in a representative capacity.
Solaigen Labs reserves the right to revise, amend, or update these Terms at any time and at our sole discretion. When material changes are made, we will update the "Last updated" date at the top of this page and may provide additional notice through the Platform or via other communication channels.
It is your responsibility to review these Terms periodically for changes. Your continued use of the Platform after any modifications constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must immediately cease all use of the Platform.
We may, at our sole discretion and without prior notice or liability, suspend or terminate your access to the Platform for any reason, including but not limited to a breach of these Terms, suspected fraudulent or illegal activity, or regulatory requirements.
Upon termination, your right to use the Platform will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, limitation of liability, and indemnification.
Termination of your access to the Platform does not affect your ownership of $SGEN tokens already held in your wallet, though access to certain platform-specific functionalities may be restricted.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall continue in full force and effect.
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Solaigen Labs regarding the subject matter herein and supersede all prior or contemporaneous agreements, negotiations, representations, and proposals, whether written or oral.
